Following a review, conducted in close collaboration with the Bundesanstalt
für Finanzdienstleistungsaufsicht (BaFin), of the way BlackRock has
interpreted its voting rights disclosure obligations under German law,
BlackRock entities are filing today a statement representing their holdings
as at the settlement date of 25 September 2014 in COMMERZBANK
Aktiengesellschaft.
The statement does not reflect a change in BlackRock's current holdings of
voting rights. The statement simply updates information currently in the
market regarding BlackRock's holdings in COMMERZBANK Aktiengesellschaft.
Further, the statement does not signify any change in investment strategies
pursued.
Also, BlackRock issues a press release detailing the BlackRock group
entities and their respective voting rights applicable to COMMERZBANK
Aktiengesellschaft and other relevant German issuers on

On 30.9.2014, BlackRock, Inc., New York, NY, U.S.A., informed us according
to § 21 (1) WpHG that its share in the voting rights on Commerzbank AG,
Frankfurt am Main, Germany on 25.9.2014 amounted to 4,72% (this corresponds
to 53771456 voting rights). Of these voting rights, 2.47% (28087650 voting
rights) are to be attributed to BlackRock, Inc., New York, NY, U.S.A.,
pursuant to § 22 (1) sentence 1 no. 1 WpHG. Of these voting rights, 2.09%
(23778369 voting rights) are to be attributed to BlackRock, Inc., New York,
NY, U.S.A., pursuant to § 22 (1) sentence 1 no. 6 WpHG in connection with §
22 (1) sentence 2 WpHG. Of these voting rights, 0.15% (1754276 voting
rights) are to be attributed pursuant to § 22 (1) sentence 1 no. 1 WpHG as
well as pursuant to § 22 (1) sentence 1 no. 6 WpHG in connection with § 22
(1) sentence 2 WpHG. Of these voting rights, 0.01% (142772 voting rights)
are to be attributed pursuant to § 22 (1) sentence 1 no. 2 WpHG in
connection with § 22 (1) sentence 2 WpHG as well as pursuant to § 22 (1)
sentence 1 no. 6 WpHG in connection with § 22 (1) sentence 2 WpHG. Of these
voting rights, 0.0004% (4194 voting rights) are to be attributed pursuant
to § 22 (1) sentence 1 no. 1 WpHG, pursuant to § 22 (1) sentence 1 no. 2
WpHG as well as pursuant to § 22 (1) sentence 1 no. 6 WpHG in connection
with § 22 (1) sentence 2 WpHG.
On 30.9.2014, BlackRock Holdco 2, Inc., Wilmington, DE, U.S.A., informed us
according to § 21 (1) WpHG that its share in the voting rights on
Commerzbank AG, Frankfurt am Main, Germany on 25.9.2014 amounted to 4,64%
(this corresponds to 52858367 voting rights). Of these voting rights, 2.47%
(28091844 voting rights) are to be attributed to BlackRock Holdco 2, Inc.,
Wilmington, DE, U.S.A., pursuant to § 22 (1) sentence 1 no. 1 WpHG. Of
these voting rights, 2.01% (22888113 voting rights) are to be attributed to
BlackRock Holdco 2, Inc., Wilmington, DE, U.S.A., pursuant to § 22 (1)
sentence 1 no. 6 WpHG in connection with § 22 (1) sentence 2 WpHG. Of these
voting rights, 0.15% (1735638 voting rights) are to be attributed pursuant
to § 22 (1) sentence 1 no. 1 WpHG as well as pursuant to § 22 (1) sentence
1 no. 6 WpHG in connection with § 22 (1) sentence 2 WpHG. Of these voting
rights, 0.01% (142772 voting rights) are to be attributed pursuant to § 22

informed us according to § 21 (1) WpHG that its share in the voting rights
on Commerzbank AG, Frankfurt am Main, Germany on 25.9.2014 amounted to
4,64% (this corresponds to 52781601 voting rights). Of these voting rights,
2.47% (28091844 voting rights) are to be attributed to BlackRock Financial
Management, Inc., New York, NY, U.S.A., pursuant to § 22 (1) sentence 1 no.
1 WpHG. Of these voting rights, 0.0005% (5667 voting rights) are to be
attributed to BlackRock Financial Management, Inc., New York, NY, U.S.A.,
pursuant to § 22 (1) sentence 1 no. 6 WpHG. Of these voting rights, 1.95%
(22255194 voting rights) are to be attributed to BlackRock Financial
Management, Inc., New York, NY, U.S.A., pursuant to § 22 (1) sentence 1 no.
6 WpHG in connection with § 22 (1) sentence 2 WpHG. Of these voting rights,
0.15% (1735638 voting rights) are to be attributed pursuant to § 22 (1)
